CoCreate License Transfer

Does anyone know what the rules are regarding license transfers?

I am planning on selling my licenses (dongle) of CoCreate Design Productivity Pack, BoM Editor and Model Manager. All have active maintenance until 10/10.

I purchased these when CoCreate was running the "trade-in" promotion.

Thanks,

Gary

Re: CoCreate License Transfer

I think you should first read the customer agreement that you accepted when you installed CoCreate software (see attachment)

according to the following ruling:

it should be ok.
What are you looking to get for everything?

Re: CoCreate License Transfer

I should have worded my question better. I should have asked if anyone had experience transferring/selling licenses.

I had contacted CoCreate a while ago about this. Tech support suggested getting in touch with sales.

So I e-mailed sales and they told me to contact license management in support. Again, I contacted support and in their typical (excellent) fashion they are going to track someone down that can answer this. CoCreate has very good support! I'm just trying to get written consent as per 1.4.v.

Unless like your linked article states ...

"...Meanwhile, other courts have ruled that software vendors can restrict buyers' rights by asserting that they only purchase a license to use software. "

BUT, since he has a dongle, it's totally a different story. Maybe that is why so many CAD/FEA companies have moved away from dongles and gone to a license manager software tool.

Re: CoCreate License Transfer

The sales guy got back to me and said that transferring licenses is allowed... for a fee. I haven't been told what the fee is yet.

So, as long as I can find someone interested in the software I should be ok!

Re: CoCreate License Transfer

Just heard from the sales again and PTC's now claiming that it is illegal to transfer a license unless my company is aquired or is splitting up.

I wish they would make up their minds!

Re: CoCreate License Transfer

If you do a HELP > ABOUT COCREATE > LEGAL NOTICES

It states, "Copyright © 1990-2006 CoCreate Software GmbH. All Rights reserved." That's a good thing to legally keep others from debugging the source code.

"This SOFTWARE MAY NOT BE COPIED except for archiving purposes, error verification, or to replace a defective copy. It MAY ONLY BE USED WITH the appropriate LICENSE and CODEWORD. "

If the computer has the original software, then it is not copied. If the computer has the appropriate LICENSE and CODEWORD it is legal.

Now comes the part about WHAT version of COCREATE you have. There are two license agreement documents. The 2008 document under PTC and the Pre-2008 under CoCreate. In other words, if your CoCreate is version 15.50 or older, there is a clause of TRANSFER for Pre-2008.

"Transfer. Customer’s license will automatically terminate upon any transfer of the Software. License transfers are subject to CoCreate’s prior written authorization and payment to CoCreate of any applicable transfer fees. Upon transfer, you must deliver the Software, including any copies and related documentation, to the transferee. The transferee must accept CoCreate’s License Terms in writing as a condition of approval."

There is NO Transfer clausse for CoCreate 2008 or newer via PTC.

All of the license documentation can be found here:

Re: CoCreate License Transfer

BMaverick,

Thank you for the information.

I have 2008. Too bad they removed that transfer clause!

My reseller gave the contact information for PTC the legal department. I sent them an e-mail asking for their written consent per 1.4.v.

Re: CoCreate License Transfer

There have been reasons why our company will not upgrade past V15.50. This just adds to the mix.

In our case, we were able to transfer our computers from one facility to another when our parent company bought us and moved everything from a closed facility. Cocreate honored that move since it was pre-2008 software.

Re: CoCreate License Transfer

After almost 2 months, many unanswered e-mails and many calls I actually got to talk to a real person at PTC today. In the legal department I think.

Apparently the people at the level that would talk to me can't give any decent answers other than repeating the EULA over and over. Get this; they won't even let me donate the license to a local Community College. A teacher there was interested in seeing a non-history based CAD system. All they have there is SW. I thought this might be a good opportunity for someone to get some use out of it. PTC didn't think so.

Even though the EULA says that PTC can authorize the sale, donation, etc. they refuse to do it. They said that very rarely they will authorize license transfers. And, they'll charge you a fee for the transfer!

Well, now we all know.
